Terms and Conditions for Weddingroster

These Terms and Conditions ("Agreement") govern your use of the Weddingroster mobile application ("App") and any related services provided by Weddingroster, a Corporation. By downloading, installing, or using the App, you agree to comply with and be bound by these Terms and Conditions. If you do not agree with any of these terms, you may not use the App.

1. Overview of the App
The Weddingroster is a platform designed to connect wedding couples with wedding professionals (e.g., photographers, planners, florists, etc.). The App allows users to invite and contact professionals, manage wedding event tasks, and communicate with vendors and other users.

2. Eligibility
To use the App, you must be at least 18 years of age and have the legal capacity to enter into a binding contract. By using the App, you represent and warrant that you meet these eligibility requirements.

3. Account Registration
In order to access certain features of the App, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. User Roles and Responsibilities

Couples: If you are a wedding couple ("Couple"), you can use the App to invite and connect with your wedding professionals, send messages, share files, timelines, and manage your wedding planning.
Professionals: If you are a wedding professional ("Professional"), you can use the App to create a profile, connect with existing clients, communicate with Couples and other wedding professionals, and manage bookings.

5. Use of the App
You agree to use the App only for lawful purposes and in a manner that does not violate any local, state, or international laws or regulations.

You may not:

Violate the rights of other users, including their privacy rights and intellectual property rights.
Use the App for fraudulent, harmful, or illegal activities.
Engage in spamming, phishing, or any activity that could harm the App’s reputation or operations.
Use any automated means, such as bots or scrapers, to access or collect data from the App.

6. Professional Listings and Content
Wedding professionals who register on the App are solely responsible for the content they provide, including descriptions of their services, pricing, photos, and availability. While we may review or moderate listings, we do not guarantee the accuracy, completeness, or quality of the services listed.

7. Payments and Fees

For Couples: You may be required to pay a subscription or services offered through the App may be subject to fees. By using the App, you agree to pay any applicable fees for services booked through the platform.
For Professionals: You may be required to pay a subscription or commission fee to list your services on the App. The exact fees will be outlined in your professional account dashboard.

Payment processing may be handled by third-party services (such as Stripe, PayPal, etc.), and you agree to comply with the terms of those services when making payments or receiving payments.

8. Privacy Policy
Your use of the App is also governed by our Privacy Policy, which can be found at https://www.weddingroster.com/privacy-policy . By using the App, you consent to the collection and use of your information in accordance with our Privacy Policy.

9. Reviews and Ratings
Users (Couples and wedding professionals) have the ability to rate and review other users. Reviews should be based on honest experiences and must comply with our Review Guidelines. We reserve the right to remove any reviews that violate our guidelines or that we deem inappropriate.

10. Dispute Resolution

Mediation and Arbitration: Any dispute arising from your use of the App, including but not limited to any dispute between Couples and Professionals, shall first be attempted to be resolved through mediation. If mediation fails, the dispute will be resolved through binding arbitration in accordance with the arbitration rules of the Canadian Arbitration Association (CAA) or the American Arbitration or, alternatively, the Arbitration Act or Rules of the Federal Arbitration Act (FAA), depending on the nature of the dispute.

These Terms are governed by and construed in accordance with the laws of Ontario (or any specific province), and any legal action will be brought exclusively in the courts of Toronto, Ontario (or another relevant city/province).
United States:
These Terms are governed by and construed in accordance with the laws of the United States of America, and any legal action will be brought exclusively in the federal courts located in New York, NY.

11. Termination of Account
We reserve the right to suspend or terminate your account at our discretion, without notice, if we believe you have violated these Terms and Conditions. You may also terminate your account at any time by following the instructions in the App settings.

12. App Availability and Maintenance
We aim to provide continuous access to the App, but we do not guarantee uninterrupted availability. We may suspend or terminate the App's functionality for maintenance, upgrades, or other reasons at our sole discretion.

13. Disclaimers

No Guarantees: We do not guarantee the quality, safety, or suitability of services offered by professionals on the App. It is the responsibility of the Couple to vet any vendor or service before making any financial commitments.
Third-Party Links and Content: The App may contain links to third-party websites or services. We are not responsible for the content, products, or services provided by these third parties.

14. Limitation of Liability
To the fullest extent permitted by law, Wedding Roster Inc. shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the App, including but not limited to, the actions of other users or third-party service providers.

15. Indemnity
You agree to indemnify and hold harmless Wedding Roster Inc. , its officers, employees, agents, and affiliates from any claims, damages, losses, or expenses, including legal fees, arising out of or related to your use of the App or any violation of these Terms and Conditions.

16. Modifications to Terms
We may update or change these Terms and Conditions at any time. When we make changes, we will update the "Effective Date" at the top of this page. Continued use of the App after any changes to these Terms constitutes your acceptance of those changes.

17. Severability
If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and Conditions, and it shall not affect the validity and enforceability of the remaining provisions.

18. Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any other legal notices or agreements published by Wedding Roster Inc. on the App, constitute the entire agreement between you and Wedding Roster Inc. regarding your use of the App.
